These Terms and Conditions govern the sale of goods and services by Australian Rectifiers Pty Ltd. By placing an order with us, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Definitions
- "Company", "we", "us", or "our" refers to Australian Rectifiers Pty Ltd, 15 Richards Road, Hoppers Crossing VIC 3029, Australia.
- "Customer", "you", or "your" refers to the person, business, or entity placing an order or requesting a quotation.
- "Goods" refers to rectifiers, power supplies, transformers, control units, spare parts, and any other products supplied by the Company.
- "Services" refers to installation, commissioning, repair, maintenance, and technical support provided by the Company.
2. Orders and Quotations
All quotations are valid for 30 days from the date of issue unless otherwise stated in writing. Quotations are subject to availability of goods and confirmation of pricing from our suppliers at the time of order.
An order is not binding until accepted by the Company in writing (including email). We reserve the right to decline or cancel any order at our discretion. Custom-built or made-to-order equipment may be subject to additional lead times and non-cancellation conditions as specified in the quotation.
3. Pricing
All prices are quoted in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. GST will be added at the applicable rate where required by law.
Prices are subject to change without notice prior to acceptance of an order. Once an order has been accepted, the quoted price will be honoured subject to the terms of the quotation. Pricing for imported equipment may be subject to currency fluctuation adjustments as specified in the quotation.
4. Delivery
Unless otherwise agreed in writing, all goods are supplied ex-works from our facility at 15 Richards Road, Hoppers Crossing VIC 3029. Freight, insurance, and delivery charges are additional and will be quoted separately.
Delivery dates provided are estimates only and are not guaranteed. The Company will not be liable for any loss or damage arising from delays in delivery caused by circumstances beyond our reasonable control, including but not limited to supply chain disruptions, shipping delays, or force majeure events.
Risk in the goods passes to the Customer upon dispatch from our premises, or upon collection by the Customer or their nominated carrier.
5. Payment Terms
Payment terms are strictly 30 days from the date of invoice for approved credit accounts. New customers may be required to pay in advance or provide a deposit prior to commencement of manufacture.
For custom or made-to-order equipment, a deposit of up to 50% may be required at the time of order, with the balance due prior to dispatch. The Company reserves the right to charge interest on overdue accounts at the rate of 2% per month on the outstanding balance.
6. Warranty
All new goods supplied by the Company carry a standard manufacturer warranty of 12 months from the date of delivery, unless otherwise specified in writing. The warranty covers defects in materials and workmanship under normal operating conditions.
The warranty does not cover:
- Damage caused by misuse, negligence, or operation outside specified parameters
- Normal wear and tear, including consumable components
- Damage resulting from unauthorised modification or repair
- Damage caused by power surges, lightning strikes, or other external events
- Equipment that has not been installed or maintained in accordance with our guidelines
Warranty claims must be submitted in writing within the warranty period. The Company will, at its discretion, repair or replace the defective goods or components. Extended warranty options may be available upon request.
7. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability in connection with the supply of goods or services shall not exceed the purchase price of the goods or services in question.
The Company shall not be liable for any indirect, consequential, or incidental damages, including but not limited to loss of production, loss of profit, loss of revenue, or cost of substitute equipment, howsoever arising.
Nothing in these terms excludes or limits any rights or guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).
8. Returns and Cancellations
Standard catalogue items may be returned within 14 days of delivery in unused, original condition and packaging, subject to a restocking fee of 15% of the purchase price. Return shipping costs are the responsibility of the Customer.
Custom-built or made-to-order equipment cannot be returned or cancelled once manufacture has commenced, unless the goods are defective or do not meet the agreed specifications.
All returns must be approved in advance by the Company in writing. Goods returned without prior authorisation may not be accepted.
9. Intellectual Property
All intellectual property rights in the Company's products, designs, documentation, software, and technical information remain the property of the Company or its licensors. No licence or right is granted to the Customer except as expressly set out in a separate written agreement.
Technical documentation, drawings, and specifications provided to the Customer are confidential and may not be reproduced, disclosed, or used for any purpose other than the operation and maintenance of the purchased equipment without the Company's prior written consent.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia sitting in Victoria.
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
